Terms of Service

1. Services

VicByte IT Consultancy (ABN: 45 902 414 736) provides ISO 27001 gap assessment, ISMS implementation, and ISMS maintenance services. The specific scope, deliverables, timelines, and fees for each engagement are defined in a written Statement of Work or service agreement agreed before work commences.

2. Engagement

All engagements begin with a written agreement that defines scope and fees. Work does not commence until this agreement is signed. Scope changes require written approval from both parties.

3. Fees and Payment

Fees are as specified in the applicable Statement of Work. Invoices are payable within 14 days of issue unless otherwise agreed. VicByte reserves the right to suspend work on accounts with overdue invoices.

4. Confidentiality

VicByte treats all client information as confidential. We do not disclose client information to third parties without written consent, except as required by law. Client information is handled in accordance with our Privacy Policy.

5. Intellectual Property

Upon full payment, clients receive ownership of all deliverables produced specifically for their engagement (policies, procedures, risk registers, reports). VicByte retains ownership of methodologies, templates, and know-how used in delivering services.

6. Limitation of Liability

VicByte's liability for any claim arising from the provision of services is limited to the fees paid for the engagement giving rise to the claim. VicByte does not guarantee that following its recommendations will result in ISO 27001 certification, as certification decisions rest with independent certification bodies.

7. Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
